Terms of Service

By accessing or using PulUp ("Service", "Platform"), operated by DraVan Technologies SARL-S ("Company", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use PulUp.

These Terms constitute a legally binding agreement between you and DraVan Technologies SARL-S. We reserve the right to update these Terms at any time, and your continued use of PulUp after changes constitutes acceptance of the updated Terms.

PulUp is an event creation and sharing platform that allows users to:

• Create and customize event pages with details, themes, and settings
• Share event links with potential participants
• Manage RSVPs and track event participation
• Organize public or private events
• Access premium features through paid subscription plans (where applicable)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, for any reason including but not limited to maintenance, updates, or business decisions.

3.1 Account Creation

To use certain features of PulUp, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. You may delete your account at any time through your account settings.

4.1 Your Content Ownership

You retain all ownership rights to the content you create on PulUp, including event details, descriptions, images, and any other materials you upload or share ("User Content").

4.2 License Grant to PulUp

By posting User Content on PulUp, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to:

• Display, reproduce, and distribute your User Content on the Platform
• Store and process your User Content to provide the Service
• Make your User Content available to other users as per your privacy settings (public vs. private events)
• Use your User Content for platform improvements, analytics, and promotional purposes (in aggregated or anonymized form)

This license exists only to enable us to operate PulUp and terminates when you delete your content or account (except for content shared with other users or cached/backup copies, which may persist for a reasonable period).

4.3 Content Responsibility

You are solely responsible for your User Content and any links you include in your events. We do not pre-screen User Content but reserve the right to remove any content that violates these Terms.

4.4 PulUp's Intellectual Property

The PulUp platform, including its design, features, source code, logos, and trademarks, is owned by DraVan Technologies SARL-S and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of our Service without written permission.

You agree not to use PulUp to:

• Illegal Activities: Create events or engage in activities that violate any applicable laws or regulations
• Hate Speech or Discrimination: Post content that promotes hatred, violence, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
• Adult or NSFW Content: Share explicit sexual content, pornography, or other adult material
• Scams or Fraud: Engage in fraudulent schemes, phishing, pyramid schemes, or deceptive practices
• Harassment or Abuse: Harass, threaten, stalk, or abuse other users
• Spam: Send unsolicited bulk messages, advertisements, or promotional content
• Impersonation: Impersonate another person or entity, or falsely claim affiliation with any organization
• Security Violations: Attempt to hack, disrupt, or interfere with the Service's security, integrity, or availability
• Data Scraping: Use automated tools to scrape, copy, or collect data from PulUp without authorization
• Intellectual Property Infringement: Post content that infringes on others' copyrights, trademarks, or intellectual property rights

6.1 Freemium Model

PulUp operates on a freemium model, offering both free and premium features:

• Free Tier: Access to basic event creation and sharing features at no cost
• Premium Tier: Access to advanced features, enhanced customization, and additional tools through paid subscription plans

6.2 Billing and Refunds

If you subscribe to a paid plan:

• You authorize us to charge your payment method on a recurring basis (monthly or annually, as selected)
• Subscriptions automatically renew unless cancelled before the renewal date
• You can cancel your subscription at any time through your account settings
• No refunds are provided for partial subscription periods, but you retain access until the end of your billing cycle
• We reserve the right to change pricing with 30 days' notice to existing subscribers

6.3 Taxes

Prices are exclusive of applicable taxes (such as VAT). You are responsible for paying any taxes associated with your subscription.

Your use of PulUp is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with GDPR and other applicable privacy laws.

By using PulUp, you consent to our data practices as described in the Privacy Policy. We are committed to protecting your privacy and handling your data responsibly.

PulUp may contain links to third-party websites, services, or resources (such as playlist URLs or external event resources). These links are provided for your convenience, but we:

• Do not endorse, control, or assume responsibility for third-party content
• Are not liable for any damages arising from your use of third-party services
• Recommend reviewing the terms and privacy policies of any third-party services you access

You acknowledge that any links you include in your events are your sole responsibility, and you agree to ensure they comply with applicable laws and do not violate these Terms.

9.1 Service "As Is"

PulUp is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Guarantees of uninterrupted, error-free, or secure service
• Accuracy, reliability, or completeness of any content or information

9.2 Limitation of Liability

To the maximum extent permitted by law, DraVan Technologies SARL-S shall not be liable for:

• Any indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use PulUp
• User Content posted by other users
• Unauthorized access to your account or data

In no event shall our total liability exceed the amount you paid to us in the 12 months preceding the claim, or €100, whichever is greater.

9.3 Indemnification

You agree to indemnify and hold harmless DraVan Technologies SARL-S, its affiliates, and their respective officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your User Content or links you share
• Your violation of any third-party rights, including intellectual property rights
• Your use of PulUp

PulUp is a platform for organizing events, but we are not responsible for:

• The actual occurrence, quality, safety, or legality of events created by users
• The accuracy of event information provided by event hosts
• Disputes between event hosts and participants
• Any injuries, damages, or losses incurred during events organized through PulUp

Event hosts and participants interact at their own risk. We strongly encourage users to verify event details, use good judgment, and prioritize personal safety when attending events.

We may terminate or suspend your access to PulUp immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Request by law enforcement or government authorities
• Extended inactivity
• Discontinuation of the Service

Upon termination, your right to use PulUp ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property provisions, disclaimers, and limitation of liability) will remain in effect.

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any disputes arising from or relating to these Terms or your use of PulUp shall be resolved exclusively in the courts of Luxembourg. You consent to the personal jurisdiction of these courts and waive any objections to venue.

12.3 EU Consumer Rights

If you are a consumer in the European Union, nothing in these Terms affects your statutory rights under EU consumer protection laws, including the right to take legal action in your country of residence.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification to your registered email address (for significant changes)

Your continued use of PulUp after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using PulUp and may delete your account.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
